Compensates the originators who source, qualify, and bring a project to financial close. Paid as a one-time lump sum at the project's financial-close milestone. Participants and weights are fixed at the time of close and do not re-allocate over the life of the project.
Track B
Development & Build Commission
Milestone-based · paid through EPC stages to COD
Compensates the team that develops the project through engineering, procurement, and construction. Paid in instalments at defined EPC milestones, with the final payment at Commercial Operations Date (COD). Participants may join or exit mid-build; weights are recomputed when a participation matrix change is signed.

Offtake Stream Commission · 10-year declining

Compensates ongoing involvement during the operational life of the facility. Paid quarterly as a percentage of actual offtake revenue (electricity sales and activated-carbon sales), on a declining schedule front-loaded to years 1–3 and tapering through year 10. Participation matrix is continuously updated — when a participant exits, their forward share is reallocated to active participants per the policy formula. Across 100+ projects, this is hundreds of quarterly calculations across thousands of participant-project-quarter rows.

Streams EPC milestones, COD events, and offtake revenue. Applies the policy version in effect at the time of each event. Calculates payouts across all three tracks, by participant, with full traceability.

Reallocates

Participation matrix changes

When a participant exits or a new participant joins, applies the reallocation formula to redistribute the forward Track C share. Versions every participation matrix change. Cannot retroactively change a closed-period calculation without explicit human approval.

Every payout traces back to the source transactions, the participation matrix, the policy version, and the rule that produced the calculation. Disputes resolved in minutes by replaying the calculation from the immutable ledger.

Reads contractor reports, drawings, inspection logs, equipment delivery records, and field signoffs. Maintains the live state of every facility against its EPC agreement's specific stage definitions.

Opala Energy Partners operates a series of private investment vehicles funding BioEnergy and related renewable-infrastructure projects under §48E ITC and §168(k) Bonus Depreciation structures. The fund's operating calendar is dense and unforgiving: K-1 issuance, quarterly capital-call notices, IRS filing dates, state tax filings, audit-cycle evidence preparation, LP communications on draw-down and distribution events, and ongoing compliance with tax-equity counterparty requirements.

DE-009 operates from a detailed compliance calendar document that defines every recurring filing, every investor communication, every deliverable, and every dependency — and runs that calendar continuously, drafting communications, preparing filings, and routing every external send through human approval. The DE does not file or send on its own — it is the operating substrate underneath the General Partner, not a replacement for the GP's signature.

Qanik DX is developing quantum biosensor technology for decentralized blood-lab testing and pathogen detection in saliva and on surfaces. The clinical data pipeline produces highly sensitive PHI alongside novel biosensor signal data, with chain-of-custody and regulatory traceability requirements that span HIPAA, FDA 21 CFR Part 11, and the specific regulatory regimes of each jurisdiction the technology is deployed in.

DE-010 will operate as the data-governance layer across the clinical pipeline — sample intake, signal classification, lab partner orchestration, chain-of-custody documentation, and regulatory submission evidence preparation. The DE will never make a clinical determination — it operates strictly on the chain-of-custody and evidence side, with all clinical decisions reserved for licensed professionals.

The first Digital Employee built inside a SaaS product.

Human Velocity is a governance-intelligence SaaS platform for development- and growth-stage companies. It automates investor reporting, performance scoring under a Balanced Scorecard framework, and an algorithmic SAFE investment engine. Unlike the other DEs in this portfolio, DE-011 is not deployed inside the customer's organisation — it is deployed inside Human Velocity's product itself, providing the continuous score calculation that the platform's end users (founders, investors, board members) rely on.

The DE ingests the operating data each portfolio company submits, applies the platform's three-tier target architecture and AI planning modules, and continuously updates the Balanced Scorecard performance score. It is the engine of the Human Velocity SaaS — making this a reference case for embedding a governed Digital Employee inside a productised offering, not just inside an internal operations workflow.
